Sales terms

The French version prevails: conditions générales de vente.

These terms supplement the terms of service and use the same definitions. Where they differ on a commercial point, these terms prevail.

1. Seller

AXIONYX.io Sàrl, business identification number CHE-396.139.818, canton of Neuchâtel, Switzerland. Full details and contact email address: legal notice.

Sales are to businesses only (see Terms of Service, art. 2).

2. Plans and pricing

Prices in Swiss francs (CHF). Indicative beta pricing, subject to change under article 8.

The applicable pricing is the one published on the site's pricing page at the time of order.

What a credit is. One credit corresponds to one entity interpreted afresh. A result served from cache is not charged. Refusals (codes 402, 403, 429) are never charged: the check happens before the request runs.

Analysis depth. Deep analysis is reserved for Pack M, Pack L and Scale. A deep request submitted on a lower plan is refused with a 403, at no charge.

Scale plan. It grants a higher daily limit; the cost of the AI engine is borne by your own provider key, which you supply and which that provider bills you for directly. You are solely responsible for complying with that provider's terms.

Credit validity. Purchased credits remain usable for as long as the account is active. They are not convertible into cash and bear no interest. Trial credits and the Discovery monthly top-up are attached to the trial key and lapse with it.

3. Value added tax

Prices are stated in CHF. AXIONYX.io Sàrl is not registered for Swiss VAT: no VAT is added to our prices or charged. Should this change, VAT would be shown separately on the invoice or receipt provided, and no tax would be collected without appearing on that document. Any taxes due in your own country of establishment remain your responsibility.

4. How an order is concluded

In line with the requirements applicable to electronic commerce, these are the technical steps leading to the conclusion of the contract.

During the beta, card payment is not open to the public. Packs are activated by email:

• you write to us stating the plan you want and your billing details;
• we confirm by email the plan, the price, VAT where applicable and the payment terms — that email constitutes our offer;
• your written acceptance concludes the contract;
• credits are added to your key once payment is received, and we confirm activation by email.

Until you have confirmed in writing, no commitment is made and no amount is charged. Any error in the information supplied can be corrected by simply replying to the confirmation email, before payment.

Once online payment opens, the flow will be:

• select the plan from your client area;
• a summary page showing the plan, the number of credits and the total amount payable, before any payment details are entered;
• the ability to go back and correct your selection at that step;
• redirection to our payment provider's secure page;
• order confirmation by email, and crediting of the account.

Credits are added only after a payment confirmation signed by the payment provider. A browser redirect alone does not constitute payment.

5. Payment

The payment provider is Stripe. We do not collect, see or store any card data: it is entered directly with the provider.

Invoices and receipts are made available in your client area, through the provider's billing portal.

Packs are prepaid and do not renew automatically: they are one-off purchases. Scale is a monthly subscription; renewal and termination are covered in article 7.

6. Refunds

No statutory right of withdrawal applies to a business-to-business sale under Swiss law. We nevertheless grant the following contractual guarantee.

Full refund of a pack where both conditions are met:

• the request reaches us within 14 calendar days of payment;
• less than 20% of the pack's credits have been used.

The refund is issued to the original payment method, and remaining credits are removed from the account.

Otherwise, credits are non-refundable, except:

• Service failure: if an outage attributable to us prevented you from using paid credits, we re-credit or refund them;
• termination on our initiative absent any breach by you: prepaid unused credits are refunded pro rata (Terms of Service, art. 12).

No refund is due where termination follows a breach of the acceptable use policy.

7. Term, renewal, termination

• Packs. One-off purchases, no term, no renewal.
• Scale. Monthly subscription, tacitly renewed month to month. Terminable at any time from the client area or by email, effective at the end of the current monthly period. No pro rata refund on a started month, except in case of Service failure.
• Non-payment. In case of unpaid amounts we will remind you and may suspend access until settled. Statutory default interest is reserved.

8. Price changes

We may amend the pricing. Any change is announced by email at least 30 days before it takes effect.

• It never applies retroactively to credits already purchased, which keep their usage value.
• For Scale, you may terminate free of charge before the new price takes effect.

Prices shown during the beta are explicitly presented as indicative and expected to be revised at commercial launch.

9. Complaints

Send any complaint to the address given in the legal notice, stating your account address and, where applicable, the order reference. We acknowledge receipt and handle complaints within a reasonable time.

10. Governing law and jurisdiction

Swiss law. Jurisdiction: the ordinary courts of the canton of Neuchâtel. The French version prevails.
